Medical Gas Piping Equipment.

(A) Standard Warranty Period for Parts and Labor:

Grupo Arigmed S. de .R.L. de C.V. warrants and represents that all Products will be free of Defects for the first twenty-four (24) months from the date of shipment.

During said warranty period, Grupo Arigmed S. de .R.L. de C.V. will be responsible for defects in the products, that is, for all costs of repair or replacement that may include “in and out" charges, as long as the products are “located in Mexico", and that said products are reasonably located and accessible to technical service personnel for removal and/or repair. “In and out” charges include the costs of removing an item of equipment for repair or replacement.

(B) Additional Warranty Period:

Parts only (not including labor), Grupo Arigmed S. de .R.L. de C.V. warrants that the products described herein will be free from defects for a period of twenty-four (24) months from the date of invoice, with the exception of any component that is recommended to be replaced in less time according to our installation, operation and maintenance manuals.

Within said term, Grupo Arigmed S. de .R.L. de C.V. will repair or replace any part or component found to be defective in material.

This warranty covers parts only, therefore labor is not included. This guarantee is valid only when the product has been installed correctly and in accordance with the specifications of Grupo Arigmed S. de .R.L. de C.V., under normal operating and maintenance conditions in accordance with the factory’s recommendations. This warranty does not cover failures due to damage that occurs in shipment or results directly or indirectly from accident, misuse, abuse, neglect, mishandling, alteration, misapplication, or damage due to vandalism, sabotage, and acts of nature.

(C)Total:

Grupo Arigmed S. de .R.L. de C.V. warrants each brand Pipe Fitting (collectively “Products", individually “Product"), to be free from defects in materials and workmanship (“Defects").

EXCEPT AS PROVIDED BELOW, THERE ARE NO OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND WHICH SHALL EXIST IN CONNECTION WITH THE SALE OR USE OF SUCH PRODUCTS, TO THE EXTENT PERMITTED BY LAW, IS EXCLUDED ALL IMPLIED WARRANTIES ARE DISCLAIMED.

All warranty claims must be made in writing and delivered to Grupo Arigmed S. de .R.L. de C.V. in accordance with the procedures set forth on our website (www.arigmed.com), or otherwise such claim will be dismissed.

Upon timely receipt of a warranty claim, Grupo Arigmed S. de .R.L. de C.V. will inspect the product claimed to be defective, and will only replace when determined by the factory; however Grupo Arigmed S. de .R.L. de C.V. may elect, when returning the product, to reimburse the buyer for any part of the purchase price of said products paid to Grupo Arigmed S. de .R.L. de C.V.

The buyer will pay the freight for the return of the products to Grupo Arigmed S. de .R.L. de C.V. for inspection or for shipment of warranty parts.

Grupo Arigmed S. de .R.L. de C.V. will not be responsible for amounts resulting from import fees, taxes, duties, licenses or other charges imposed by any governmental authority on the production, sale, shipment and/or use of the covered products.

The warranties and remedies described herein are the sole and exclusive remedy for any breach of warranty or for any other claim based on defects or lack of performance of the products, whether based on contract, warranty or negligence.

(D) Coverage.

The guarantee provided in this document applies only to the piping products of Grupo Arigmed S. de .R.L. de C.V.

(E) Exceptions.

Notwithstanding any provision to the contrary herein, Grupo Arigmed S. de .R.L. de C.V. will have no warranty obligations with respect to the products in the following cases:

(E1) That have not been installed in accordance with the specifications and written instructions of Grupo Arigmed S. de .R.L. de C.V.

(E2) That there is no maintenance in accordance with the written instructions of Grupo Arigmed S. de .R.L. de C.V.;

(E3) That have been substantially modified and adapted, without the prior written approval of Grupo Arigmed S. de .R.L. de C.V.;

(E4) That experience failures resulting from operation, whether intentional or not, in excess of rated capacities or otherwise improper.

The guarantee provided in this document will not apply to:

(1) Any defects arising from corrosion, oxidation of materials, degradation of textures and colors, abrasion, use of insoluble lubricants, or negligent care resulting in malfunction of the products.

(2) Normal wear and tear of the products; or defects derived from abnormal conditions of temperature, humidity, tropical jungle climate, dirt and exposure to corrosive materials of any kind.

(3) Any OEM component that is shipped by Grupo Arigmed S. de .R.L. de C.V. with the original manufacturer’s warranty, which will be the only applicable warranty for such component.

Limitation of Liability.

NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES Grupo Arigmed S. de .R.L. de C.V. SHALL BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECULATIVE OR INDIRECT LOSS OR DAMAGES ARISING OUT OF OR IN ANY WAY RELATING TO ANY OF THE PRODUCTS OR GOODS SOLD OR AGREED TO BE SOLD TO BUYER; TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE FACTORY’S LIABILITY IS IN ALL CASES LIMITED TO, AND NOT TO EXCEED, THE PURCHASE PRICE PAID.

In the event of breach of any warranty hereunder, the sole and exclusive responsibility of Grupo Arigmed S. de .R.L. de C.V. it shall be at your option to repair or replace any defective product, or to accept the return, transportation prepaid, of such product and refund the purchase price; in any case, provided that said defect is notified in writing to Grupo Arigmed S. de .R.L. de C.V. within THIRTY CALENDAR DAYS (1) month from the date of shipment to the Buyer, that Grupo Arigmed S. de .R.L. de C.V. finds the product to have been defective at the time of such shipment, that the product has been installed and/or operated in accordance with instructions, and that no unauthorized third party repairs, alterations, or replacements have been made without authorization without written approval, and that Buyer notifies in writing within fifteen (15) days of the occurrence of the defect and promptly provides full and “SPECIFIC" details in relation thereto; and further provided that in no case shall the aggregate and the responsibility of Grupo Arigmed S. de .R.L. de C.V. in connection with the breach of any warranty shall exceed the purchase price paid for the product purchased.

Grupo Arigmed S. de .R.L. de C.V. may, at its option, require the return of any products, transportation and duties prepaid, to establish any claim of defect made by Buyer.

Unless otherwise agreed in writing (a) Grupo Arigmed S. de .R.L. de C.V. will not accept and will not have any responsibility for products returned without your prior written consent, and (b) Grupo Arigmed S. de .R.L. de C.V. will not assume any expense or responsibility for repairs to products made outside its plant by third parties.

In the event that Grupo Arigmed S. de .R.L. de C.V. elect to replace a defective product, installation, labor, service and all other costs to replace the product will be the responsibility of Buyer.

Grupo Arigmed S. de .R.L. de C.V. will not be, except as established above, responsible to the Buyer or a third party, for any of the products supplied for damages of any kind, including, among others, indirect, special or consequential damages or loss of production or lost profits resulting from any cause, including, but not limited to, any delay, act, error or omission of Grupo Arigmed S. de .R.L. de C.V.

Supplier’s repair or replacement of any Product will not extend the stated warranty period.

Grupo Arigmed S. de .R.L. de C.V. has made a diligent effort to accurately illustrate and describe the products in its graphic and written literature, including price lists, data sheets, catalogs and technical manuals; however, such illustrations and descriptions are for identification purposes only, and do not express or imply a warranty that the products are merchantable, or fit for any particular purpose, or that the products will necessarily conform to the illustrations or descriptions.

Product suitability:

Many jurisdictions have local or national codes and regulations governing the sale, construction, installation and/or use of products for certain purposes, which may vary from those in neighboring areas. While Grupo Arigmed S. de .R.L. de C.V. attempts to ensure that its products comply with such codes, cannot guarantee broad compliance, and cannot be responsible for how the product is installed or will be used.

Before purchasing and using a product, please review local and national applications and standards, codes and regulations, and ensure that the product and its respective installation and use comply with them.

Claims:

Any claim outside of the warranty related to the Products must be submitted to Grupo Arigmed S. de .R.L. de C.V. within (1) month after the invoice date, otherwise claims will be dismissed.

Prices, discounts and terms are subject to change without notice, as stipulated in quotes for specific products.

Grupo Arigmed S. de .R.L. de C.V. will not be responsible for the use, delay or failure arising as a result of criminal acts, fire, flood, or any disaster, labor problem, riot or disorder, delay in the supply of materials or any other cause, whether similar or different, beyond the control of our organization.

All shipments are carefully inspected and counted before leaving the factory. Please carefully inspect any product receipts and note any discrepancies or damage in carrier freight at the time of delivery.

Discrepancies or damage that obviously occurred during transit are the carrier’s responsibility and related claims should be promptly made directly to the carrier. Products returned under this cause will not be accepted.

Deductions from invoices will not be accepted for claims of shortages or damages due to mistreatment or losses in the transport of the goods.

UNLESS OTHERWISE AGREED TO IN WRITING, THE TERMS AND CONDITIONS CONTAINED IN THIS WARRANTY SHALL PREVAIL IN ANY TRANSACTION WITH Grupo Arigmed S. de .R.L. de C.V.

Any different terms or conflicts that may appear on any order form now or later submitted by the buyer will not be valid.

All orders are subject to acceptance by Grupo Arigmed S. de .R.L. de C.V.
